Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and CellWorks ("CellWorks", "we", "us") governing your access to and use of the CellWorks website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

CellWorks is an AI-assisted tool for generating, editing, and exporting spreadsheets, formulas, and dashboards. Features, limits, and available exports may change over time.

You must provide accurate information when creating an account and are responsible for activity performed under it. Keep your credentials confidential and notify us of any unauthorized use at support@cellworks.app.

Paid plans are billed in advance on a recurring basis (monthly or yearly) through Stripe. Prices are shown in USD; applicable taxes are calculated at checkout based on your billing location. Your subscription renews automatically until canceled. You can cancel at any time from your account; cancellation stops future renewals and keeps access until the end of the current billing period. Refunds are governed by our Refund Policy.

You agree not to: (a) use the Service to violate any law or third-party rights; (b) upload content you don't have rights to; (c) attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service; (d) use the Service to generate spam, malware, or harmful content; or (e) resell the Service without written permission.

You retain ownership of the prompts, data, and spreadsheets you create ("Your Content"). You grant CellWorks a limited license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for the legality of Your Content.

The Service uses AI models to generate spreadsheets and content. Output can contain errors, inaccuracies, or omissions. Review AI output before relying on it for financial, legal, tax, medical, or other consequential decisions. CellWorks is not liable for decisions made based on AI-generated output.

The Service, including its software, design, and branding, is owned by CellWorks and protected by applicable IP laws. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms.

The Service integrates with third parties (for example, Stripe for payments and AI model providers). Their terms and privacy practices apply to your use of those integrations.

You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms or create risk for the Service. Upon termination, your access ends; sections that by nature should survive (ownership, disclaimers, liability limits) will survive.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will meet your requirements.

To the maximum extent permitted by law, CellWorks and its affiliates will not be liable for indirect, incidental, special, consequential, or exemplary damages, or loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of USD 100 or the amounts you paid to CellWorks in the 12 months preceding the claim.

We may update these Terms from time to time. Material changes will be communicated by updating the effective date above and, where appropriate, in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.
